Plain English Summary: These are the rules for using StagHill. We provide fleet management software. You pay us monthly. We're not liable if things go wrong. You own your data. Either of us can end this agreement. UK law applies.

1. Acceptance of Terms

Welcome to StagHill Software ("StagHill", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the StagHill platform, including our website, web application, mobile applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with these Terms, you must not use the Service.

2. The Service

StagHill provides cloud-based fleet management software designed for haulage and logistics businesses operating in the United Kingdom and Europe. The Service includes:

  • Vehicle tracking and fleet visibility
  • Document generation (including GMRs, invoices, and customs documentation)
  • Booking and shipment management
  • Customer relationship management
  • Team collaboration tools
  • Compliance assistance tools

Important: StagHill is a tool to assist with your operations. It does not replace professional customs advice, legal guidance, or regulatory compliance expertise. You remain responsible for ensuring your business complies with all applicable laws and regulations.

2.1 Service Availability

We aim to provide 99.5% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible)
  • Emergency maintenance or security updates
  • Factors beyond our reasonable control (including third-party service outages)

2.2 Third-Party Services

The Service integrates with third-party services (such as Google Maps, payment processors, and government APIs). Your use of these integrations is subject to the terms of those third parties. We are not responsible for the availability, accuracy, or functionality of third-party services.

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the security of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

3.3 Team Accounts

If you invite team members to your account, you are responsible for their actions within the Service. You must ensure all users comply with these Terms.

4. Free Trial

4.1 Trial Period

We offer a 30-day free trial of the Service. During the trial period:

  • No payment information is required to start
  • You have access to the full features of your selected plan
  • You may cancel at any time without charge
  • At the end of the trial, you must subscribe to continue using the Service

4.2 Trial Limitations

  • Only one free trial is permitted per individual or business entity
  • Creating multiple accounts to obtain additional trial periods is prohibited
  • We reserve the right to refuse trial access at our discretion

4.3 End of Trial

If you do not subscribe before the trial ends, your access to the Service will be suspended. Your data will be retained for 90 days, after which it may be permanently deleted.

5. Subscription & Payment

5.1 Subscription Plans

The Service is available on a subscription basis. Current plans, pricing, and features are displayed on our website. All prices are in British Pounds (GBP) and exclude VAT unless otherwise stated.

5.2 Billing

  • Subscriptions are billed monthly in advance
  • Payment is due on the same date each month
  • We accept payment via credit/debit card through our payment processor (Stripe)
  • You authorize us to charge your payment method automatically each billing cycle

5.3 Price Changes

We may change our prices from time to time. We will provide at least 30 days' notice of any price increase. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5.4 Refunds

Subscription fees are generally non-refundable. However:

  • If the Service is substantially unavailable for more than 48 consecutive hours due to issues within our control, you may request a pro-rata credit
  • We may offer refunds at our discretion in exceptional circumstances

5.5 Failed Payments

If payment fails, we will attempt to process the payment again and notify you. If payment cannot be processed after 7 days, your account may be suspended until payment is received.

6. Acceptable Use

6.1 Permitted Use

You may use the Service only for lawful business purposes related to fleet management, logistics, and haulage operations.

6.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Copy, modify, or create derivative works based on the Service
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Upload malicious code, viruses, or harmful data
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity
  • Violate the intellectual property rights of others

7. Your Data

7.1 Ownership

You retain all ownership rights in the data you upload to the Service ("Your Data"). We do not claim any ownership rights in Your Data.

7.2 License to Use

You grant us a limited license to use, process, and store Your Data solely for the purpose of providing the Service to you. This license ends when your account is terminated.

7.3 Data Protection

We take data security seriously. Your Data is stored on secure servers provided by Google Cloud Platform (Firebase) located within the European Union. We implement appropriate technical and organizational measures to protect Your Data.

7.4 Data Export

You may export Your Data at any time through the Service or by contacting us. We will provide Your Data in a commonly used format.

7.5 Data Deletion

Upon termination of your account:

  • You may request immediate deletion of Your Data
  • If no request is made, Your Data will be retained for 90 days and then permanently deleted
  • Certain data may be retained as required by law or for legitimate business purposes (such as audit logs)

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including all software, content, design, trademarks, and other materials, is owned by StagHill Software Ltd and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription period.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

9. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

9.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGHILL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, BUSINESS, OR DATA
  • ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
  • ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA
  • ANY DAMAGES ARISING FROM THIRD-PARTY SERVICES OR INTEGRATIONS

9.2 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Essential Purpose

The limitations in this section shall apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, and shall survive any termination of these Terms.

9.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF DATA
  • UNINTERRUPTED OR ERROR-FREE SERVICE

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be available at all times without interruption
  • Any errors or defects will be corrected
  • The Service is free of viruses or other harmful components
  • Documents generated by the Service will be accepted by customs authorities or other parties

11. Indemnification

You agree to indemnify, defend, and hold harmless StagHill and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your Data or content you upload to the Service
  • Any dispute between you and a third party

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through the Service settings or by contacting us. Cancellation will take effect at the end of the current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Service:

  • Immediately if you breach these Terms
  • If payment cannot be processed after the grace period
  • If required by law or legal process
  • For any reason with 30 days' notice

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service will cease immediately
  • You will not be entitled to a refund of any fees paid (except as stated in Section 5.4)
  • Sections of these Terms that should survive termination will continue to apply (including Sections 7, 8, 9, 10, 11, and 14)

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by email or through the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service before they take effect.

14. Governing Law & Disputes

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.3 Informal Resolution

Before initiating any legal proceedings, you agree to contact us and attempt to resolve the dispute informally. We will make good faith efforts to resolve any issue within 30 days.
